EMOZ Terms of Service

1. Identification of the service provider, subject matter of the contract, general terms and conditions, and identification of the services offered

EMOZ is a trademark registered with the EUIPO (application number 019026906, registered on 08/30/2024) in the name of Collarium Tech, S.L., a Spanish company with tax identification number B02777019 and headquarters in Barcelona, Paseo de Gracia 53, Ático 08007 (Spain), and recorded in the Mercantile Registry of Barcelona, in volume 47550, sheet B-555293, page 158. The domain name "emoz.io" is also registered under the name of Collarium Tech, S.L., which is its exclusive owner.

This document establishes the contractual terms and conditions (hereinafter, the "ToS") that regulate access, use, and contracting of the services offered by the EMOZ technology platform (hereinafter, "EMOZ") available at https://emoz.io and managed by Collarium Tech, S.L. (hereinafter, the "Company").

Registration and/or use of the EMOZ platform implies full and unreserved acceptance of the ToS, which shall apply without prejudice to any specific or special conditions or agreements that may be established. We therefore recommend that the User read these ToS carefully before interacting with EMOZ. If the User does not agree with the ToS, they may not use the services offered by EMOZ under any circumstances.

For the purposes of this contract, the party contracting EMOZ's services, whether a natural or legal person, shall be referred to as the "Customer" or "User" (or "Customers" or "Users", in the plural). The designation of User shall only have the implications and rights recognized in consumer and user regulations when it refers to natural persons acting for purposes unrelated to their commercial, business, trade, or professional activities, or legal entities and entities without legal personality acting on a non-profit basis in a field unrelated to commercial or business activities.

Identification of the digital services offered

The service covered by this contract consists of access to EMOZ to generate valid and verifiable proof of publicity and existence, on a specific date and time, of the User's digital file containing a work or digital content, by registering a fingerprint (hash) on the Polygon public blockchain. This proof can serve as a certificate of authorship (or copyright) of a work or as a certificate of ownership of digital content, stored in both cases in digital files. To do this, EMOZ generates a non-transferable NFT ("soulbound token") associated with the digital file containing the work or digital content. The certificate of authorship (or copyright) and the certificate of ownership of digital content are generated in PDF format and can be verified independently, at any time, on the aforementioned blockchain. All this can be done without the customer needing to have a cryptocurrency wallet.

Therefore, the Company records data in an electronic ledger, which is the Polygon blockchain. However, the Company does not control or manage this ledger itself, but rather only uses it as a tool to generate valid and verifiable proof of the existence of the User's digital file at a specific date and time. Therefore, the Company also does not control the chronological order of the blocks in the Polygon blockchain, nor its nodes, nor its technical infrastructure, nor its technological evolution or future availability.

The services offered by EMOZ are not incompatible with or a substitute for the activity of public intellectual property registries. EMOZ can be very useful for authors of digital works (designers, musicians, painters, developers and programmers, photographers, etc.) who claim authorship (or copyright) of a work, as well as for any creator of digital content who claims ownership of specific digital content, and in both cases, who wishes to prove the existence and publicize the work or digital content at a given time.

2. Definitions and Interpretation

2.1. In these ToS, the following terms have the meanings attributed to them below:

"Work or digital work" ("works or digital works," in plural): A work or digital work is understood to be any original intellectual creation made by a human being using digital tools and technologies, which is eligible for protection as such under current copyright law. For example, digital books, articles in a blog or digital magazine, musical compositions, digital paintings, photographs, the source code and object code of a computer program, etc., are all works, provided they are original.

"Digital content" (or "digital contents," in plural): Any information stored in digital format, in particular, text, sound, visual, or audiovisual recordings, provided that it is not considered a "work" under current copyright regulations. For example, music, translations, or images and drawings generated exclusively by artificial intelligence; any other intellectual creation that cannot be considered original or created by a human being, etc.

"Blockchain": A distributed and secure database that stores transaction records (blocks) in a linear and immutable sequence. Each block contains information cryptographically linked to the previous block, ensuring data integrity and security. It requires an internet connection to function.

"Crypto-assets or crypto-asset": A digital representation of a value or right that is able to be transferred and stored electronically using blockchain technology. Examples of crypto-assets include cryptocurrencies and NFTs.

"Non-fungible token (NFT) or non-fungible tokens (NFTs)": An NFT is a unique and indivisible type of crypto-asset that represents a specific digital or physical object, such as a work of art, a video game, a certificate of authorship (or copyright) of a work, or a certificate of ownership of digital content. Unlike cryptocurrencies such as bitcoin, which are fungible and can be exchanged for other crypto-assets of equal value, NFTs are not interchangeable and have a unique and specific value.

"Cryptocurrency wallet, wallet, or digital wallet": A cryptocurrency wallet or digital wallet is software or a physical device that allows one to store, send, and receive crypto-assets (e.g., cryptocurrencies or NFTs). In simple terms, one can think of a wallet as a kind of bank account for cryptocurrencies. Each wallet is associated with a unique cryptocurrency address that allows a person to receive funds and make transactions.

"Electronic ledger": This is a sequence of electronic data records that ensures the integrity of those records and the accuracy of their chronological order. The activity of recording electronic data in an electronic ledger is considered a type of trust service under Regulation (EU) 2024/1183 of the European Parliament and of the Council of 11 April 2024, amending Regulation (EU) No. 910/2014 as regards establishing the European Digital Identity Framework (recital 68, article 3(52), and article 45k).

"Smart contract": A smart contract is an autonomous computer program that runs on a blockchain and allows agreements to be established and/or transactions to be carried out securely and automatically without the intervention of an intermediary. Smart contracts are designed to ensure that the agreed conditions are met and that transactions are carried out as planned.

"Hash" or "fingerprint": The hash value of a digital file should be understood as the value that compactly represents the content of that file, identifying it as if it were its fingerprint. Any change in the content of the file, however small, produces a completely different hash value, thus showing that the file has been altered. It is an irreversible alphanumeric value that represents the file.

EMOZ uses a specific algorithm to calculate the hash value of the User's file and encrypted metadata: this is the SHA-256 hash, one of the most widely used due to its balance between security and computational cost of generation, and its high collision resistance. Regardless of whether it is a simple sentence or the content of an entire book, the result is always a string of 64 letters and numbers (with 256-bit, 32-byte encoding). In these ToS, the term hash or fingerprint should be understood as synonymous with SHA-256 hash.

3. Description of the services offered by EMOZ

EMOZ's services include the following features:

  • The registration of Customers' digital works and digital content on the Polygon public blockchain.
  • The registration and annotation of Users' statements of authorship (or copyright) and/or ownership on the Polygon public blockchain.
  • The creation of non-transferable NFTs (soulbound NFTs) that support proof of authorship (or copyright) of works and ownership of digital content registered on the Polygon public blockchain.
  • The issuance in PDF format of an electronic certificate of registration of the authorship (or copyright) of the works and ownership of the registered digital content.
  • Download of the registration certificate in PDF format indicated above so that, if necessary, it can be provided as evidence to verify this information, which includes the date and time of registration on the Polygon public blockchain.
  • Verification of the name of the file containing the registered work or digital content, the hash of the aforementioned files, and the date of registration on the blockchain.

The Polygon blockchain operates as a repository in which reliable evidence of the registration of a work or digital content is recorded at a specific time for the purpose of proving authorship (or copyright) or accreditation of ownership. The reliability and integrity of the information declared by the Customer is ensured by the use of blockchain technology and by the public key infrastructure, which includes the generation of two fingerprints on the User's personal data (their full name and email address) and on the Customer's declaration of authorship or ownership, as well as on the identification of the work or digital content (name of the file containing the work or digital content), and the time stamp for the record and accreditation of the date of registration. Additionally, the User's personal data is encrypted with xSalsa20-Poly1305 before being registered on the Polygon network blockchain. This adds an extra layer of traceability, security, and publicity to the registration operations on the blockchain, while maintaining the maximum confidentiality possible from a technical standpoint.

4. Access, use of EMOZ services and features

4.1. Registration on the platform

To use EMOZ's services, the User does not need to register manually on the EMOZ platform. Customers interested in certifying the authorship and intellectual property of a work and/or the ownership of digital content, after EMOZ generates the fingerprint (hash) of the file containing it, must provide EMOZ with his/her email address. Once the Customer's email has been verified and validated, EMOZ automatically creates an internal account or personal area for the User within its system.

The User does not need to create a password to use EMOZ, as they can always access their account using only their email address and a verification and validation code (different each time) that they will receive by email. In other words, EMOZ does not have an explicit "create account" (sign up) option; instead, the User's account is generated automatically when their email address is verified and validated. This allows all the certificates of authorship and ownership generated by the User to be associated with a single Customer, as well as the invoices issued through the Paddle payment system, which is the only one used by EMOZ.

Therefore, once the Customer's email address has been verified and validated, the "Log In" button disappears from the upper right corner of the EMOZ platform, and the "Verify" user icon appears in its place. By clicking on it, the Customer will be able to view and re-download the certificates of authorship and ownership that they have previously created and obtained, their invoices, and log out.

4.2. The file containing the work or digital content is never uploaded to EMOZ

Neither the Company nor the EMOZ platform stores or saves anywhere the User's file containing the digital work and/or digital content whose authorship (or copyright) or ownership, respectively, they wish to accredit and certify.

The Customer's original digital file is not stored on any server or computer system controlled by the Company, nor is it transferred to any external third-party service. In fact, this file is never uploaded to the EMOZ platform. When the User selects and drags their file to the EMOZ interface, the file remains locally in the Customer's browser and is not uploaded to the internet. The process works entirely within the User's browser, using JavaScript, as follows:

  • The file is processed locally in the Client's browser, where EMOZ calculates its fingerprint (hash).
  • Only that hash and the file name are transmitted to the EMOZ database and servers to be registered and subsequently recorded on the Polygon blockchain.
  • The original file always remains on the User's device. The Company does not have access to the file or its content.

Therefore, what is recorded on the blockchain is not the digital work or content itself, but only the hash (fingerprint) of the file that contains it. In other words, the original content of the file is never stored or shared by EMOZ, even temporarily, let alone recorded on the blockchain. There is no copying, uploading, or sending of that file. The Company has no technical means of knowing the content of the file, or even of receiving or accessing it, as the document never leaves the User's device.

Under no circumstances is the registration in the Polygon blockchain carried out with the storage or deposit of the User's work or digital content. When registering a work, or part thereof, sketches, or digital content, the User must generate a hash of the file containing the work or digital content in EMOZ and keep the original file with them so that the work can be unequivocally identified, if necessary.

In practice, this means that in order to prove the authorship (or copyright) of a work or the ownership of digital content, it will always be necessary to present both the original file containing it, which is in the Customer's possession, and the certificate of authorship or certificate of ownership in PDF format generated by EMOZ, as applicable. The verifiability of authorship and ownership necessarily depends on this combination. The hash recorded in the blockchain does not allow the original file to be reconstructed on its own, but rather only confirms that the file presented corresponds to the one that was protected. Therefore, the User is solely responsible for safeguarding and preserving the original file together with the PDF certificate of authorship or certificate of ownership, if necessary to enforce the proof of registration before any authority. EMOZ never stores the file on its servers nor has any technical means of recovering or verifying it.

4.3. The EMOZ smart contract and the creation of non-transferable NFTs

The EMOZ smart contract, deployed on the Polygon Amoy blockchain network (test network) and subsequently on the Polygon Mainnet blockchain network (official network), is an ERC-721 smart contract developed in a customized manner by the Company using the Solidity programming language. The sole purpose of this smart contract is to issue digital certificates of authorship and ownership in the form of non-transferable NFTs (soulbound NFTs).

In other words, the sole function of the EMOZ smart contract is to create immutable digital certificates that prove that a digital file containing a digital work or content existed and that someone publicly claimed authorship or ownership of it on a specific date and time. Each NFT represents a unique and personal digital certificate.

The main features of the EMOZ smart contract and the NFTs created by that smart contract are as follows:

  1. The EMOZ smart contract is called "emozNFT" and its author and owner is the Company.
  2. The ERC-721 smart contract is a widely adopted and understood standard in the blockchain industry. Using this format ensures that EMOZ's digital certificates of authorship (copyright) and ownership in the form of NFTs are immediately understandable by any external verifier, can be viewed and audited from multiple platforms and blockchain explorers, and enjoy interoperability with future technical or administrative systems that recognize NFTs as a means of representing rights.
  3. Each NFT represents a single specific file containing a digital work or content, identified solely by its fingerprint. This ensures that there can be no duplicates of the same digital certificate of authorship and ownership and that each registered digital work or content has its own unique and irreversible NFT.

The NFTs generated by EMOZ constitute the electronic support for the registration of the works and digital content, on a specific date and time and with specific content. The functionality of the NFT is, therefore, to establish a mechanism that ensures the Client a technologically secure means of proving the existence and publicity of a work and/or digital content on a specific date and time.

  1. The NFT created by the EMOZ smart contract is of the soulbound (non-transferable) type, so once issued, the NFT cannot be transferred or sold in any way. As it is published on a public blockchain (Polygon), the NFT cannot be altered, deleted, or destroyed, and includes a public and immutable timestamp. This ensures that the certificate is permanent and will never disappear, even in the hypothetical case that EMOZ ceases its activity. This serves as technical proof of authorship or ownership linked to the original file, without the need to rely on private or centralized databases.
  2. The data stored on the blockchain is public. Each NFT stores in plain text (i.e., unencrypted or in plain text) the fingerprint (hash) of the file containing the User's work or digital content, as well as the algorithm used (in this case, SHA-256). This makes it possible to prove that the file existed at the exact date and time of issuance or creation of the NFT.
  3. All data stored by the EMOZ smart contract is encrypted. In addition to the fingerprint (hash) of the file containing the work or digital content, the EMOZ smart contract stores a block of JSON metadata that is encrypted outside the smart contract before being sent to the blockchain. This metadata contains the following information: the User's full name, their email hash, and the declaration of authorship or intellectual property over the work (or, as the case may be, the declaration of ownership over the digital content). All this data is encrypted with XSalsa20-Poly1305, which is a symmetric encryption algorithm with authentication, before being recorded on the blockchain.

This last piece of information can only be decrypted using the secret seed in Base64 format that appears and is included in the PDF authorship and ownership certificate that EMOZ provides to the User. Only those who possess this secret seed visible in the EMOZ PDF authorship and ownership certificate can decrypt this information.

  1. Through EMOZ, digital certificates of authorship (or copyright) of a work and certificates of ownership of digital content can be issued in the form of non-transferable NFTs (soulbound NFTs). The smart contract has implemented the Ownable pattern, which means that only the owner of the smart contract (i.e., the Company) can issue certificates of this nature. Once a certificate has been issued, the transaction recorded on the blockchain is permanent, immutable, and publicly verifiable. Even if EMOZ were to cease operations or disappear, the transaction would continue to exist on the blockchain network, and on its own constitutes valid and verifiable proof of intellectual property (authorship or copyright) or ownership of the associated digital file. No external user can interact with the smart contract to create NFTs on their own.
  2. The NFTs used by EMOZ are created using the Polygon (formerly known as MATIC) protocol and blockchain, which consists of a secondary blockchain connected to the Ethereum network. The Polygon network and its standards are currently considered a secure, fast, scalable, reliable, and cost-efficient framework for NFTs. The use of Polygon requires that these NFTs be stored in a cryptocurrency wallet.
  3. Each of the NFTs issued by EMOZ will always and exclusively be in the possession of the Company, which is the only entity that stores and keeps them in a cryptocurrency wallet whose address is indicated in the Annex to these ToS (hereinafter, the EMOZ wallet).
  4. The EMOZ wallet is publicly visible as the owner of all NFTs (i.e., all digital certificates of authorship and intellectual property issued by EMOZ) issued and created from the EMOZ smart contract.
  5. The address of the EMOZ smart contract ("emozNFT") is indicated in the Annex to these ToS.

The source code of the EMOZ smart contract is publicly verified on Polygonscan and available for review and audit by anyone at https://amoy.polygonscan.com/address/0xde2e497e183a39f6530ffc9479b5b3c26622a8ad#code. Any Customer can check exactly what the contract does, how the data is structured, and how it behaves.

If the User is not an expert in programming, they can copy the source code of the EMOZ smart contract and paste it into artificial intelligence tools accessible to anyone, such as ChatGPT, to obtain a comprehensible explanation of what the smart contract does and understand the rules governing each NFT issued by EMOZ. In this way, it can be verified that it is as explained in these ToS.

  1. The information included in EMOZ NFTs specifies who the person is who has registered the work as the author or owner of digital content. These NFTs are not transferable, negotiable, or exchangeable for equivalent value, and therefore do not constitute a financial instrument in the legal sense. The above considerations are subject to change as this is an emerging and changing technology.

EMOZ NFTs solely and exclusively comply with and have a legally valid probative function, as they only serve as a certificate of authorship of a work and ownership of digital content for the User. They reliably certify that the fingerprint (hash) of the Customer's file containing a work or digital content has been unquestionably recorded on the blockchain (Polygon) at a specific date and time.

The User declares that they are familiar with the functioning and operation of the transaction, management, use, and characteristics of NFTs, as well as with cryptocurrency wallets, the blockchain, and its underlying technology, at least to a sufficient and responsible extent to understand and be able to use this technology in accordance with the ToS. If this is not the case, the User must consult a professional specializing in the field beforehand or refrain from using EMOZ's services altogether.

4.4. Downloading the certificate of authorship and certificate of ownership in PDF format from EMOZ

Each digital certificate of authorship or intellectual property (of a work) and each certificate of ownership (of digital content) in PDF format issued by EMOZ is registered as a unique and exclusive non-transferable NFT (soulbound token) on the Polygon blockchain. Therefore, the certificate effectively points to the NFT, and there cannot be more than one certificate for the same file.

EMOZ currently offers two types of PDF certificates of authorship and ownership:

  • Test certificates: these are issued (minted) on the Polygon Amoy test network and are intended to test the EMOZ service. Although they function as real NFTs, they offer no guarantees of permanence or persistence. They are free for the User.
  • Official certificates: these are issued on the Polygon Mainnet, which is the same network used by financial institutions and global technology companies. These certificates ensure legal validity, persistence, and public traceability as proof of authorship. They are paid for by the Client.

The Customer will see both types of certificates as options on the EMOZ platform. After choosing the type of certificate they want (and paying, if applicable), the User will be directed to a final page where they can download the corresponding PDF certificate.

The PDF certificates of authorship and ownership are generated in real time, are not stored on EMOZ's servers, and are delivered to the User at the time of download. The PDF certificate of authorship and ownership is not sent to the User through any channel (e.g., via email). There is no public or private URL for each certificate, and no one can access the PDF document containing the certificate from outside, as it is not stored anywhere.

The User does not have to pay again to recover a previously generated PDF certificate. Payment is made only once, at the time of declaring authorship or ownership and completing registration on the blockchain. From that moment on, the User can access their EMOZ account and "download" any previously created certificate again at no additional cost and with no limit on the number of times. When we say "download" the PDF certificate, the system does not actually retrieve a previously stored PDF document. What it does is dynamically regenerate the PDF certificate in real time, always using the same original data stored in the EMOZ database (User's name and email address, fingerprint of their file, declaration of authorship or ownership, transaction ID on the blockchain, blockchain network used, etc.). This data is permanently linked to the original record on the blockchain and never changes. That is why the PDF certificate generated will always be identical to the first one, even if it is downloaded years later. To draw an analogy, the data contained in the PDF certificate is like the content that is printed, and the PDF document is like a blank sheet of paper placed in a printer. Every time the User clicks "download," it is as if we were inserting a blank sheet into the printer: the system prints the original data on it and delivers the PDF certificate ready for download.

Only the User who is the legitimate owner of the PDF authorship certificate or ownership certificate can decrypt the content of the NFT, as they have the secret seed to decrypt the metadata recorded in the Polygon blockchain, which is embedded within the PDF document. Therefore, the PDF certificate of authorship and ownership delivered by EMOZ to the Customer acts as an access key to the NFT, which contains everything necessary to verify the existence of the work or digital content and decrypt its content, even without relying on EMOZ. However, in order to prove the authorship of a work or the ownership of digital content before a court, arbitration tribunal, or other official authority, it will be necessary to present both the original file containing the work or digital content (in the Customer's possession) and the PDF certificate of authorship or ownership generated by EMOZ.

Therefore, the User not only acquires a nice-looking PDF document, but also mathematically verifiable proof that certifies the publicity and existence of a digital file containing a work or digital content, on a specific date and time.

4.5. Where and how are EMOZ services paid for?

All payments made by EMOZ are processed in a secure environment through the Paddle payment platform (https://www.paddle.com/) managed by Paddle Payments Ltd., a company incorporated and domiciled at 42 Pearse Street, Dublin, D02 YX88, Ireland.

All payments made by EMOZ Users are managed through Paddle, which is responsible for processing payments, storing debit, credit, or prepaid card numbers, collecting applicable taxes (such as Spanish VAT), and transferring them to the relevant tax authorities. All fiscal and compliance responsibility for payments lies with Paddle.

In the payment process for EMOZ services, it is not necessary for the User to register in advance and create their own account on the Paddle platform in order to pay for EMOZ services.

Once the User has made the payment, EMOZ will generate and transfer the created NFT to its own wallet and then provide the User with the corresponding certificate of authorship or ownership in PDF format.

4.6. Return policy

In accordance with the requirements of the Paddle payment platform, the User has a period of 14 calendar days from the date of purchase to request a refund.

The User acknowledges and accepts that the service provided by EMOZ, consisting of the registration of the digital work or content on the blockchain, is executed immediately and fully delivered upon confirmation of payment. For this reason, under normal circumstances no refund or reimbursement would be possible. However, and only because of the policy imposed by the Paddle payment platform, the Company will honor refund requests submitted within the stated period.

5. User Obligations

5.1 General obligations regarding EMOZ services

The Customer or User must be over 18 years of age and fully capable of entering into contracts in accordance with their personal legislation. Otherwise, they must provide specific authorization from their legal guardian or guardians to use EMOZ services, as provided in these ToS. In the case of legal entities, the Customer declares and guarantees that they are legally constituted, registered, and/or in force in the public registries, agencies, and authorities required for their field of activity, and that they are up to date with all their obligations.

The User declares and guarantees that all information shared on EMOZ, including their data and the files they wish to certify and register under the terms expressed in these ToS, is true, correct, complete, current, and lawful. The creation of an internal account or personal User area with false or outdated information, or information referring to third parties without their authorization, or, in particular, with a violation of intellectual property rights, industrial property rights, data protection, honor, privacy and personal image, confidentiality or secrecy, or with information that constitutes a crime, will imply a serious breach or violation of these ToS. The Company reserves the right to suspend, block, or cancel internal accounts or personal areas of Users who infringe trademarks, trade names, or other distinctive signs, who use names or pseudonyms of third parties without authorization, who are unlawful, offensive, or harmful, or who in any way breach these ToS.

The User must ensure that they have the necessary rights to register the work or digital content in their name and that these do not infringe the intellectual or industrial property rights of third parties. The User must receive and respond to notifications or messages sent by the Company regarding the possible infringement of third-party intellectual or industrial property rights or the inaccuracy of data provided on EMOZ, with the Customer undertaking to respond within a reasonable and timely manner.

The User undertakes to respect the intellectual property rights over EMOZ held exclusively by the Company, and is prohibited from any extraction, decompilation, or reverse engineering that affects the contents of EMOZ, understood as computer programs, databases, or any other elements that form part of the EMOZ services. It is expressly prohibited to:

  • Use bots, spiders, or other automatic devices, programs, scripts, methods, or any similar manual process to replicate EMOZ content or present EMOZ services in any way.
  • Attempt to access any part or service of EMOZ or any component of EMOZ's networks and communications by any illegal or prohibited means (hacking, password extraction, etc.).
  • Probe, analyze, or test the vulnerabilities of EMOZ services or any network connected to the properties, or violating any security or authentication measures of EMOZ services.
  • Perform any action that imposes an unreasonable or disproportionately large load on the infrastructure of EMOZ's systems or network services or the infrastructure of any system or network connected to EMOZ's services.
  • Use any device, software, or routine program to interfere with the normal operation of EMOZ services, including payment transactions.
  • Except in the case of the use of pseudonyms, impersonate or manipulate the User's identification in order to conceal their real identity.
  • Use EMOZ services illegally.

5.2 Obligations regarding the registration of intellectual property rights for works and ownership of digital content

The User guarantees that they are the author or owner of the right they are registering or that, where applicable, they have obtained the corresponding authorizations or sufficient power of attorney from the authors or owners for its registration or entry in the blockchain through EMOZ, its reproduction, dissemination, transformation, public communication, and other acts of exploitation derived from these ToS and their effects.

In any case, the User also guarantees that the work (whether original or derivative) or digital content being registered does not infringe or harm the rights or interests of third parties, in particular intellectual or industrial property rights, confidentiality commitments or duty of secrecy, market and competition rules or agreements, data protection rights, privacy, honor, and personal image of other persons or entities, among others. In the event that the Company receives a complaint related to a work or digital content registered by a User, the User must respond to the Company's request to confirm the accuracy of the information provided in the registration. To do so, the User must send the Company a sworn statement confirming the accuracy of the registered data. If the User's failure to comply with the obligation and guarantee established in this clause results in a judicial or extrajudicial claim against the Company by third parties for violation of intellectual property rights or unfair competition, or of any other nature, the User is obliged to compensate the Company for any costs and expenses incurred by the Company, including but not limited to compensation for damages, interest, expert reports, attorneys' and solicitors' fees, and any other items arising from or related to the claim.

In order for EMOZ to be able to publicly register the work or digital content on the Polygon blockchain without giving access to the file containing it, the User must grant the Company certain rights. In this regard, the User transfers to the Company the rights of reproduction and public communication of the file hash solely for the purpose of issuing the corresponding certificate of authorship of the work or ownership of the digital content.

5.3 Additional obligations related to the legitimacy of the User

The Customer declares and guarantees that they have no impediment, limitation, or condition that prevents, hinders, or affects in any way the possibility of using EMOZ's services. The Customer shall be responsible for specifically proving the above points, providing any documentation that may be required by the Company. In particular, they shall verify the veracity of the authorship of the work and the ownership of the digital content claimed; the legal framework that applies to them; and their capacity and legitimacy.

Likewise, the Customer will also be subject to specific identification and verification requirements imposed by the Paddle payment gateway when using EMOZ's payment services. In particular, they may be asked to provide official documents proving their identity, address, incorporation, registration, and registration in the case of legal entities, as well as any other documents required by applicable regulations. Such information may be collected by Paddle to enable the User to use Paddle's services or create the Customer account, in accordance with the conditions determined by Paddle Payments Ltd. unilaterally and independently of EMOZ.

6. Commitments and guarantees of the Company for using EMOZ services

At the User's request, the Company issues and delivers a PDF certificate that provides documentary evidence that the User's work or digital content, for which registration on the Polygon blockchain is requested, exists on a specific date and time.

The Company guarantees that each PDF certificate it delivers to its Users is recorded on the Polygon blockchain at a single, clearly defined point within a chronological sequence of transactions, with a unique transaction ID and an accurate timestamp that allows the history to be reconstructed in exact order.

The Company guarantees the uniqueness of the sequential chronological order of the data records it makes on the Polygon blockchain through its smart contract, as this blockchain is designed to operate as an electronic ledger.

The Company guarantees that the "emozNFT" smart contract will not be modified during the term of these ToS.

The Company ensures that the PDF certificate of authorship or ownership provided to the User allows for the identification of the work or digital content to which it refers, and that said work or digital content exists on a specific date and time, provided that the User has control over the original file containing it.

The Company ensures the integrity and continuous availability of the official PDF certificates of authorship or ownership issued through the Polygon blockchain network. Even in the event of the Company ceasing its activities, such certificates may be verified autonomously and indefinitely by third parties on the Polygon public blockchain, as it cannot be destroyed or modified.

The Company guarantees the legal validity of EMOZ NFTs as certificates of proof of existence and publicity of a work and of the User's digital content only in those States where the use of blockchain technology is accepted as a means of proof by the corresponding procedural rules.

Exceptionally, EMOZ reserves the right to block, suspend, or interrupt access to any digital works or content that may be considered fraudulent, illegal, or contrary to the provisions of these ToS, as well as to take any legal action it deems necessary in defense of its own interests or those of the persons it represents.

7. Privacy Policy

Registration as an EMOZ User also implies express acceptance of our Privacy Policy, which regulates the processing of our Users' personal information and the security measures implemented to prevent unauthorized persons from accessing, modifying, or deleting our files.

8. Prices and payment methods. Financial conditions

EMOZ offers free and paid services. Prices are published at https://emoz-development.emoz.io/pricing.

The registration and issuance of proof of authorship or ownership certificates issued on the Polygon Amoy test network, without any guarantee of persistence, are a free service provided by EMOZ.

The registration and issuance of official certificates of authorship or ownership issued on the Polygon Mainnet network, characterized by their public traceability and guarantee of persistence, are a paid service of EMOZ. Once the certificates have been created on the Polygon Mainnet network and subsequently downloaded by the User, this EMOZ service is considered to have been fully executed.

The corresponding taxes will be applied to the amounts indicated in the paid services depending on the User's location. If the User resides in Spain (peninsula), the corresponding Value Added Tax will be added to the price to be paid, which will be determined before payment and added to the final amount to be paid at the time of purchasing the certificate. In the case of Users residing in Spain (Canary Islands, Ceuta, and Melilla), the transaction will be subject to the applicable special taxes, which will be paid by the transferring User.

Currently, the only accepted method of payment is through the Paddle payment platform (https://www.paddle.com/legal/terms). The Company does not have access to the Customer's account, card, or other payment method details entered on this platform, which are processed through Paddle's virtual gateway, which uses communication encryption to prevent the interception of data in transit, all in accordance with the usual standards and security requirements established in current legislation for payment providers or intermediaries.

In accordance with Article 112 of Royal Legislative Decree 1/2007, of November 16, approving the Consolidated Text of the General Law for the Protection of Consumers and Users (hereinafter, the General Law for the Protection of Consumers and Users), when the amount of a service has been fraudulently or improperly charged using a payment card number, the User (provided they are considered a consumer) who is the cardholder may demand the immediate cancellation of the charge. In such a case, the corresponding debit and credit entries in the accounts or cards shall be made as soon as possible.

9. Intellectual property and use of content

The programming and other elements that enable EMOZ services to function, including but not limited to its source code and object code, design and look and feel, texts, graphics, sound and/or image files, are the exclusive property of EMOZ. The User shall have a non-exclusive, non-transferable, and territorially unlimited right to use these elements, provided that they maintain their status as a User and exclusively for the purpose of using EMOZ services in accordance with these ToS. Certain elements are subject to trade secrecy (business secret) and are duly protected, with no access or use of any kind permitted.

The intellectual property rights of the works and the ownership of the digital content registered through EMOZ belong exclusively to their authors and owners or, where applicable, to those to whom they have transferred their rights.

The Company grants Users a free, worldwide license to use the "EMOZ" trademark, exclusively for the purpose of identifying or referencing the registration of the work or digital content on the blockchain, either directly or through plugins, bookmarklets, and other computer tools or applications that facilitate such registration. Any other use of the "EMOZ" trademark will require express written consent.

10. Liability and Warranties

In accordance with the description of the services indicated in these ToS, the Company is not responsible for the veracity, accuracy, or timeliness of the information and data entered by Users in EMOZ, nor for any possible infringements of any rights held by third parties with respect to the registered works and digital content. The User shall be liable and shall hold the Company harmless, in particular, from claims based on the infringement of intellectual property, industrial property, confidentiality or trade secret rules, data protection, privacy, honor, and image rights of third parties, assuming any damages, expenses, and financial charges arising from any actions, claims, or disputes against the Company, for these reasons, including the fees, minutes, or tariffs of lawyers and court attorneys, even if their intervention is not mandatory.

The Company guarantees that access to and availability of EMOZ services are provided "as is" and "as available." The Company does not guarantee that the service offered through EMOZ will be uninterrupted or error-free, that defects will be corrected immediately, or that the service or the servers that make it available are free of viruses or other harmful components. Nevertheless, the Company has taken technical and organizational measures to reduce the risk of such incidents occurring.

To the extent permitted by applicable law, the Company shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenue, whether direct or indirect, arising from the use of EMOZ's services, including, but not limited to, the possible future compromise of Customers' encrypted data due to technological advances. In any case, the Company's total aggregate liability to the Customer for such possible damages shall be limited to a maximum amount equivalent to the amount actually paid by the Customer to EMOZ for the specific service that gave rise to the claim.

The Company shall not be liable for any errors, inaccuracies, or defects, reliability, suitability, or purpose, legality, or other issues affecting the content of the User's works and digital content, for any problems or conflicts arising from registration on the Polygon blockchain, or for the suitability, appropriateness, adequacy, or limitations of the licenses or rights acquired by the User. The Company only provides the EMOZ platform so that Users can obtain proof of intellectual property (authorship or copyright) of their works or ownership of digital content through the creation of a unique and immutable record on the Polygon blockchain. The User must seek information or advice from specialist professionals in advance in case of doubt.

The Company cannot guarantee the availability, continuity, or absence of errors in the data storage and processing services offered by platforms or services outside of EMOZ and whose use is necessary to make payments or register the works and digital content that the User registers on the Polygon blockchain, such as Amazon Web Services and Paddle. For this reason, the Company declines any responsibility for possible interruptions or errors, or for the unavailability of such services, when due to causes attributable to them.

The intellectual property information of the works and ownership of the digital content that is registered is published permanently on the Polygon blockchain, associated with NFTs. The Company does not custody or have any control over the Polygon blockchain network, its protocols, its operation, or its underlying technology before and after the NFTs have been created.

EMOZ may offer, at the Company's sole discretion, temporary and free access to certain features that normally require payment. This free access is intended to allow Users to test and evaluate these features. This type of access is temporary in nature with no guarantee of a fixed term. The Company reserves the right to terminate this type of free access at any time without prior notice.

EMOZ does not replace or substitute official intellectual property registrations.

The Company does not guarantee that the official certificate of authorship or ownership in PDF format constitutes definitive legal proof of authorship or ownership in favor of the User. The probative value of such a certificate will depend on its use in conjunction with other evidence, such as possession of the original file containing the work or digital content, as well as legal recognition by the States where it is intended to be used.

11. Right of withdrawal

In accordance with the provisions of the General Law for the Defense of Consumers and Users, the right of withdrawal shall only be applicable to Customers who are consumers or users, as provided for in said law and its complementary provisions.

Given that EMOZ's services (the registration of works and digital content on the blockchain, the generation of an NFT associated with said registration, and the issuance of a certificate of authorship or ownership in PDF format) are executed and made available to the User immediately after contracting and completing the payment process, the User acknowledges and accepts that the right of withdrawal shall not apply, as these are personalized digital services executed in their entirety at the request of the Customer. This exclusion is based on the provisions of Article 103, sections a) and m) of the aforementioned General Law for the Defense of Consumers and Users.

12. Modifications to EMOZ services and the ToS

The Company reserves the right to make, at any time, modifications and updates to the provision of EMOZ services, their content, configuration, availability, and presentation of information, as well as modifications to these ToS, without prejudice to acquired rights, as well as to temporarily suspend access to perform maintenance or improvements, without any claim being made in this regard for any direct or indirect damages or losses arising therefrom. Modifications to the ToS will be published on the EMOZ website, at which point they will be fully enforceable on Users.

13. Applicable law and jurisdiction

The conditions for the provision of EMOZ services set out in these ToS shall be governed and interpreted in accordance with Spanish law. Any dispute that may arise between the parties in relation to the provisions herein shall be submitted to the courts and tribunals of Barcelona. If the Customer is a consumer or user under applicable law, the courts and tribunals of the Customer's place of residence shall have jurisdiction.

14. Language clause and prevalence

These ToS are written in Spanish and English. Both versions are considered authentic versions of the contract.

If the Customer does not reside in Spanish territory, or in any dispute or conflict arising between the parties and involving a Customer who is not resident in Spain, the English language version shall prevail in its interpretation and application over the Spanish version.
